1. Contracting Parties and Scope
These Terms and Conditions govern the contractual relationship between Consulting & Investment Group D.O.O. (hereinafter referred to as “Agency”) with its registered office in Montenegro, Ulcinj, and the client. By agreeing to these Terms, the client consents to the Agency working on their behalf and representing their interests in connection with real estate investments.
2. Services Provided by the Agency
The Agency offers the following services:
Real estate brokerage.
Consulting services, including negotiation assistance and support in achieving the client’s investment objectives.
Administrative services, such as changing the Urban Technical Environment (UTU) and assistance with legalisation processes and other necessary authorisations.
3. Commission and Fees
For successful real estate brokerage, a commission of 3% of the purchase price plus applicable VAT is due. Additionally, a consulting fee of 0.5% of the purchase price plus applicable VAT will be charged for advisory services.
For properties developed under joint construction projects, the commission is calculated based on the living area. For example, for a living area of 16,000 m², 560 m² of living area will be transferred upon completion of a valid sales contract as commission.
4. Additional Services
Services such as changes to the UTU or legalisation processes are subject to individual negotiation and will be contractually agreed upon after discussions.
5. Payment Terms
The payment term is 30 days from the date of the invoice. This term can be modified upon request. If no payment is made within 30 days and no prior agreement for an extension has been reached, late fees of 0.25% of the outstanding amount plus applicable VAT will be applied monthly.
6. Conditions of Payment
The commission and consulting fees are due upon the conclusion of a valid sales contract between the seller (or their representatives) and the buyer (or their representatives).
7. Liability
Consulting & Investment Group D.O.O. is only liable if a cooperation contract has been formally agreed upon, explicitly stating that the Agency is liable for missing or incorrect information. In such a case, liability is limited to the amount specified in the contract.
If no such cooperation contract is in place, the Agency assumes no liability for damages resulting from incomplete or inaccurate information.
8. Confidentiality
The client agrees to treat all information received from the Agency as confidential and not to disclose it to third parties. All information provided by Consulting & Investment Group D.O.O. is subject to this confidentiality agreement. In the event of a breach of this agreement, the client will be liable for the full amount of the commission based on the purchase price of the property.
9. Applicable Law and Jurisdiction
This contract is governed by the laws of Montenegro. The exclusive jurisdiction for all disputes arising from this contract is the Osnovni sud Ulcinj (Court of Ulcinj).
10. Dispute Resolution and Mediation
In case of disputes, both parties agree to submit to mediation in order to reach an amicable solution. The mediator will review the Terms and Conditions and facilitate resolution with the goal of ensuring both parties part on good terms despite any conflicts.
11. Amendments to the Terms and Conditions
Consulting & Investment Group D.O.O. reserves the right to amend these Terms and Conditions in the event of changes to legal frameworks. Changes will take effect after written notice is provided to the client.
12. Severability Clause
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision will be replaced with a valid and enforceable provision that closely reflects the economic intent of the original provision.
13. Validity of the Terms and Conditions
These Terms and Conditions take effect upon confirmation by the client and remain in force until they are terminated or amended.
